These Terms of Service ("Terms") govern your access to and use of precisionprep.ca (the "Site") and any courses, study guides, practice questions, or other materials (the "Content") offered by Zara Prep, a sole proprietorship registered in Ontario, Canada, operating under the brand name PrecisionPrep ("PrecisionPrep," "we," "us," or "our"). By creating an account, purchasing Content, or otherwise using the Site, you agree to these Terms. If you don't agree, please don't use the Site.

1. Who we are

PrecisionPrep is an independent, third-party exam preparation provider. We are not affiliated with, endorsed by, or acting on behalf of the Canadian Investment Regulatory Organization (CIRO), the Canadian Securities Institute (CSI), or any investment dealer, portfolio manager, or other regulated entity. 2. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract to purchase or use our Content.

3. Accounts

You're responsible for keeping your account credentials confidential and for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorized use.

4. What you're buying

When you purchase a course, you're buying a personal, non-transferable, non-exclusive, revocable license to access that Content for your own individual study use, for as long as we make it available (or for any access period stated at the time of purchase). You are not purchasing ownership of the Content.

You may not:

- Share, resell, sublicense, or redistribute your account access or the Content, in whole or in part, to any other person.

- Copy, reproduce, screenshot, download, or otherwise extract Content for distribution.

- Use the Content to create a competing product or service.

We reserve the right to suspend or terminate access for any account found in violation of this section.

5. No guarantee of results

PrecisionPrep provides study material to help you prepare for CIRO proficiency exams. We do not guarantee that using our Content will result in a passing score, a specific grade, or successful registration in any category. Exam content, format, and passing standards are determined solely by CIRO and are outside our control.

6. Payments

All prices are listed in Canadian dollars unless stated otherwise. Applicable taxes will be added at checkout where required by law. Payments are processed through our third-party course platform and payment processor; we do not directly store your full payment card details.

7. Refunds

Refunds are handled according to our separate Refund Policy, which forms part of these Terms.

8. Intellectual property

All Content — including study guides, practice questions, explanations, text, graphics, and course structure — is the property of Zara Prep and is protected by Canadian copyright law. All rights not expressly granted to you under these Terms are reserved.

9. Third-party names and marks

References to CIRO, CSI, or any exam name (e.g., CIRE, RSE) are used solely to describe the subject matter of our Content, under nominative fair use. These are the trademarks of their respective owners, and their use does not imply any affiliation, sponsorship, or endorsement.

10. Disclaimer of warranties

The Site and Content are provided "as is" and "as available," without warranties of any kind, express or implied, including — to the extent permitted by law — warranties of accuracy, completeness, or fitness for a particular purpose. Exam syllabi and requirements can change; while we make reasonable efforts to keep Content current, we don't guarantee it reflects the most recent CIRO requirements at all times.

11. Limitation of liability

To the maximum extent permitted by law, Zara Prep's total liability to you for any claim arising from your use of the Site or Content is limited to the amount you paid for the Content giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including lost income or failure to pass an exam.

12. Termination

We may suspend or terminate your access to the Site or Content at any time if we reasonably believe you've violated these Terms.

13. Changes to these Terms

We may update these Terms from time to time. Continued use of the Site after changes take effect means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
